Creator Agreement
Representation and Commission Agreement · non-exclusive
This Agreement is between SponsorLab [legal entity, e.g. SponsorLab LLC] ("SponsorLab") and [Creator legal name] ("Creator"), effective [date].
1. Appointment and scope (non-exclusive)
Creator engages SponsorLab on a non-exclusive basis as a sponsorship representative to source, pitch, negotiate, and help close brand sponsorship deals. SponsorLab's services include identifying suitable brands, making introductions, drafting outreach, negotiating terms, and assisting with contracting. SponsorLab is an independent contractor and Creator's agent for this limited purpose, not an employee, partner, or joint venturer.
Because the engagement is non-exclusive, Creator remains free to pursue and accept sponsorships on their own or through other representatives. However, commission under this Agreement still applies to any Sponsorship Deal with an Introduced Brand (Section 3), regardless of how that deal is ultimately signed or who else is involved. Brands Creator already worked with before the Effective Date are listed in Exhibit A and are excluded.
2. Definitions
- Sponsorship Deal: any paid or in-kind arrangement (paid posts, ambassadorship, affiliate, gifted-product-plus-fee, retainer, or similar) between Creator and a brand.
- Gross Deal Value: the total cash consideration payable to Creator under a Sponsorship Deal. In-kind product is valued at its stated retail value for commission purposes only if the parties agree in writing; otherwise commission applies to the cash portion.
- Introduced Brand: any brand that SponsorLab first introduced to Creator, or with which SponsorLab materially participated in outreach or negotiation, during the Term. Brands listed on Exhibit A (Creator's pre-existing relationships) are excluded.
3. Commission
Creator will pay SponsorLab a commission of [20]% of the Gross Deal Value of each Sponsorship Deal that SponsorLab sources or closes, or that is otherwise with an Introduced Brand. Founding-creator rate: [15]% for agreements signed before [date]. Commission is earned upon execution of the Sponsorship Deal between Creator and the brand, regardless of when the brand actually pays.
- Per-deal minimum: the commission on any single deal will be no less than $[350].
- Renewals / step-down: if a Sponsorship Deal with the same brand renews or repeats within [24] months without material renegotiation by SponsorLab, commission on the renewal is [50]% of the standard rate (e.g. [10]%). New, materially renegotiated deals are billed at the full rate.
4. Payment mechanics (the important part)
Preferred method, pass-through (recommended): Brand payments for SponsorLab-brokered deals are directed to SponsorLab's account. SponsorLab deducts its commission and remits the net balance to Creator within [7] business days of cleared funds, with a statement. This is the cleanest way to guarantee SponsorLab is paid and is the default for SponsorLab-negotiated deals.
Alternative, direct-to-creator: If a brand pays Creator directly, Creator will pay SponsorLab the commission due within [10] business days of Creator's receipt of each payment (including milestone or installment payments). Creator's commission obligation is not contingent on Creator being paid in full by the brand; it is tied to Gross Deal Value as amounts become due.
- Late payments accrue interest at [1.5]% per month (or the maximum lawful rate, if lower) from the due date, and Creator is responsible for reasonable collection costs.
5. Disclosure, records, and audit
Creator will promptly notify SponsorLab of any Sponsorship Deal signed with an Introduced Brand and provide the executed agreement or its material commercial terms (value, deliverables, dates). Creator will keep accurate records of Introduced-Brand deals and payments for [24] months and, on reasonable notice no more than [twice] per year, allow SponsorLab (or its representative) to review those records solely to verify commission owed.
6. Non-circumvention
During the Term and the Tail Period (Section 7), Creator will not attempt to avoid commission by restructuring, renaming, delaying, or routing an Introduced-Brand deal through a third party, affiliate, or alternative entity. Deals that are Introduced-Brand deals in substance are covered regardless of form.
7. Term, termination, and tail (sunset clause)
This Agreement runs from the Effective Date until terminated by either party on [30] days' written notice. Tail Period: for [12] months after termination, commission (per Sections 3-4) still applies to any Sponsorship Deal Creator enters with an Introduced Brand, because SponsorLab created that opportunity. Sections 3, 4, 5, 6, 7, 10, and 11 survive termination.
8. SponsorLab obligations and standard of effort
SponsorLab will use commercially reasonable efforts to source and advance deals but does not guarantee any specific number, size, or outcome of deals. SponsorLab has no authority to bind Creator; Creator approves all final deal terms.
9. Creator representations
Creator represents that they have the authority to enter this Agreement, are not bound by a conflicting exclusive representation agreement, and will deal in good faith and disclose Introduced-Brand deals as required.
10. Optional retainer tier
If elected in Exhibit B, Creator pays a monthly retainer of $[350] in exchange for a reduced commission rate of [13]%. The retainer is non-refundable and does not offset commission owed.
11. Miscellaneous
Governing law: [State/Country]. Dispute resolution: [mediation then arbitration in [venue] / courts of [venue]]. This Agreement is the entire agreement, amendable only in a signed writing, and if any part is unenforceable the rest remains in effect. Neither party may assign without consent, except SponsorLab may assign to a successor of its business.
